Carpe Diem Corporate, with it’s global presence, is one of the few UK based Companies offering a direct conduit into the US Brokers and Funding Institutions.

We also work very closely with certain US States who support us with research and grant opportunities for companies who are not already based in the US or Canada.

History

The NASDAQ stock market is a unique worldwide electronic stock market and it hosts some of the worlds largest and most active corporations, amongst them, Microsoft, Intel, Cisco, Oracle and HP Hewlett Packard, in addition to many Far East, European and UK based companies.

The NASDAQ stock market regularly turns over 2 billion shares daily and in 1999 it became the largest stock market in the US with a value of $5.2 trillion!

WHY the NASDAQ?

  • The primary reason for floatation is the ability to raise funds relatively quickly and certainly easier than most of the worlds other stock markets.
  • A fast-growing business wants the ability to have access to more cash for growth and/or for acquisition and can always return to market for further investment capital.
  • It is a true entrepreneurs market, more so than any other.
  • For many companies a listing brings an enormous credibility advantage.
  • It prepares an easier "exit" route for Directors/shareholders.  The quality of the company in terms of its performance in its chosen field is directly related to the value of the shares.

Criteria.

Favoured sectors are:

  • IT
  • Software
  • Services and Leisure
  • Biomedicine & Biotech
  • Medical and Health
  • Any high margin, high-growth business
  • Exceptional “hockey stick growth” in any sector
  • Start-ups with incredible growth prospects

The following is used as a “rule of thumb”

  1. Three years results ~ Three years audited results are usually required although companies with one years trading with exceptional growth potential will be considered.
  2. Profitable trading ~  A profitable track record is essential, or high margins related to sales growth.
  3. Proven growth ~  A proven growth record and/or planned growth which can be substantiated either through organic means, or controlled acquisition.
  4. Management ~ We need to show a structured management/ownership, with a level of ownership through shareholding in the floated vehicle. This is ideally throughout the management, with one of the current owners and shareholder becoming Chairman.

What Next?

If your business is fast growing and you need advice on the next move, the current economic climate would, by default, offer the perfect opportunity. If you are interested, we are happy to discuss your requirements and thereafter suggest an initial meeting, after which, if we believe there is a possibility of success, we will help you produce an initial Executive Summary of no longer than three pages.

This synopsis would outline the business and would need to show a significant growth rate in terms of sales turnover and pre-tax profit over the next three years. We will need to show where that growth comes from and how it will be achieved, whether organically or through acquisition.

This is then discussed with the States and and suggestions are put forward as to a main listing, the Pink Sheets or the Bulletin Boards or even a reversal -  the process begins. Please call 01453 872666 for further information.
